    1. Acceptance of Terms

    Welcome to Beacon Flight. These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Beacon Flight Ventures Corp. ("Company," "Beacon Flight," "we," "us," or "our"). By accessing our website at https://beaconflight.com, using our services, or engaging with our team, you acknowledge that you have read, understood, and agree to be bound by these Terms.

    If you do not agree to these Terms, you must not access or use our services. We reserve the right to modify these Terms at any time, and your continued use of our services constitutes acceptance of any modifications.

    2. Definitions

    "Services" refers to all services provided by Beacon Flight, including but not limited to:

    • AI Booking Assistant (Chatbot & Voice Agent)
    • Website Integration & Setup
    • Calendar Integration (Google Calendar, Outlook, Cal.com, or other)
    • Automated Email & SMS Notifications
    • Lead Capture & Appointment Scheduling
    • Google Reviews Automations and Workflows
    • Workflow Automations
    • Generative Engine Optimization (GEO) / Answer Engine Optimization
    • Entity Optimization for AI Search
    • AI Visibility & Audits
    • GEO Testing & Tracking
    • LLM-Ready Content & Topic-First SEO
    • Reddit & Quora Seeding for GEO
    • Related digital marketing and automation services

    "Client" refers to any individual, business, or organization that engages Beacon Flight for services.

    "Content" refers to all text, images, data, information, and materials provided by the Client or created by Beacon Flight as part of the services.

    "Deliverables" refers to the work product, reports, optimizations, and other outputs created by Beacon Flight for the Client.

    "Platform" refers to the Beacon Flight website, client portal, and any associated tools or applications.

    3. Services Description

    Beacon Flight provides services designed to improve lead, prospect, and client interactions through a variety of touchpoints. Our services include but are not limited to:

    1. AI Booking Assistant (Chatbot & Voice Agent)
    2. Website Integration & Setup
    3. Calendar Integration (Google Calendar, Outlook, Cal.com, or other)
    4. Google Reviews Automations and Workflows
    5. Automated Email & SMS Notifications
    6. Lead Capture & Appointment Scheduling
    7. Workflow Automations
    8. Generative Engine Optimization (GEO) / Answer Engine Optimization
    9. Entity Optimization for AI Search
    10. AI Visibility & Audits
    11. GEO Testing & Tracking
    12. LLM-Ready Content & Topic-First SEO
    13. Reddit & Quora Seeding for GEO

    Our services are provided on a worldwide basis. The specific scope of services will be outlined in individual service agreements or proposals.

    4. Eligibility & Account Registration

    To use our services, you must be at least 18 years of age and have the legal authority to enter into binding contracts. If you are entering into these Terms on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

    When creating an account or engaging our services, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

    5. Payment Terms

    Beacon Flight offers various service packages with pricing detailed in individual service agreements and proposals. Pricing varies based on scope, complexity, and selected services.

    Payment Schedule: Payment is due in advance on a monthly basis unless otherwise agreed upon in writing.

    One-time Setup Fee: Depending on complexity and customization requirements, a one-time setup fee may apply as outlined in your service agreement. Setup fees are non-refundable once work has commenced.

    Commitment Terms:

    Automatic Renewal: All services automatically renew for the same duration as the initial commitment period unless Client provides written notice of cancellation at least 30 days prior to the end of the current term.

    • 6-month commitment plans: Automatically renew for an additional 6 months at the then-current pricing
    • 3-month commitment plans: Convert to month-to-month billing upon completion of the initial 3-month term and automatically renew on a monthly basis thereafter at the then-current pricing
    • Month-to-month plans: Automatically renew on a monthly basis at the then-current pricing
    • Annual plans (if applicable): Automatically renew for an additional 12 months at the then-current pricing

    Client may cancel auto-renewal by providing written notice to info@beaconflight.com at least 30 days before the renewal date. Cancellation takes effect at the end of the current billing period.

    Refund Policy: All fees are non-refundable except as expressly stated in Section 21 of these Terms or as required by applicable law.

    Late Payments: Late payments may result in suspension of services and may incur a late fee of $50 USD/CAD or 5% of the outstanding balance, whichever is greater.

    Accepted Payment Methods: We accept major credit cards via Stripe and may offer additional payment methods at our discretion.

    Price Changes: Beacon Flight reserves the right to modify pricing with 30 days' written notice to existing clients. Price changes will take effect upon renewal of your service term. If you do not agree to the new pricing, you may cancel your service by providing written notice before the renewal date.

    Currency & Taxes: Prices are quoted in USD or CAD. For Canadian clients, applicable Goods and Services Tax (GST) or Harmonized Sales Tax (HST) will be added to all fees based on the client's province of residence. Current rates vary by province:

    • Ontario: 13% HST
    • British Columbia: 5% GST
    • Alberta: 5% GST
    • Quebec: 5% GST + 9.975% QST
    • Other provinces: Varies

    Your invoice will clearly show the base fee and applicable taxes.

    Client expressly acknowledges and agrees to the automatic renewal terms set forth in this section.

    6. Client Responsibilities

    As a Client, you agree to:

    • Provide timely access to necessary accounts, platforms, and information required for service delivery
    • Ensure all content and information you provide is accurate, lawful, and does not infringe upon third-party rights
    • Respond to reasonable requests for feedback, approvals, or information within agreed timeframes
    • Maintain appropriate backups of your own data and content
    • Comply with all applicable laws and regulations in your jurisdiction
    • Not use our services for any unlawful, harmful, or fraudulent purposes

    7. Intellectual Property

    Client Content: You retain ownership of all content, materials, and intellectual property you provide to Beacon Flight. You grant us a limited, non-exclusive license to use such content solely for the purpose of providing our services.

    Beacon Flight IP: All methodologies, frameworks, tools, processes, software, and proprietary systems developed by Beacon Flight remain our exclusive property. This includes our optimization frameworks, testing methodologies, and any tools or templates used in service delivery.

    Deliverables: Upon full payment, Client receives a non-exclusive license to use deliverables created specifically for their project. Beacon Flight retains the right to use anonymized case studies and aggregate data for marketing and educational purposes.

    8. Confidentiality

    Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the engagement. This includes business strategies, financial information, technical data, and customer information. Confidentiality obligations survive the termination of these Terms for a period of three (3) years.

    Confidential information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was rightfully known prior to disclosure; (c) is independently developed; or (d) is required to be disclosed by law.

    9. SMS & Communication Terms

    9.1 Use of SMS Communications

    Beacon Flight uses SMS messaging services (powered by Twilio or similar providers) strictly for business communication with contacts who request information from us. This includes sending appointment reminders, follow-ups, and basic business updates to people who submit their details through our forms. We do not send promotional blasts or unsolicited messages. All outreach is tied to direct inquiries, follow-up scheduling, or service-related communication.

    9.2 Customer Consent

    Contacts provide explicit consent when they enter their phone number in our forms and agree to be contacted. The forms include a clear notice that by submitting their information, they give permission for us to reach out by call or SMS regarding their inquiry.

    9.3 Where Phone Numbers Are Collected

    Phone numbers are collected through:

    • Our website lead forms at https://beaconflight.com
    • Client onboarding process when setting up AI booking services
    • Calendar booking confirmations
    • Service inquiry forms

    9.4 Opt-Out Method

    Anyone can opt out at any time by replying STOP to any SMS message. When STOP is received, messaging is automatically disabled for that number. We also manually honor any request to stop communication received through email or other channels. Message and data rates may apply depending on your carrier and plan.

    9.5 Message Frequency

    Message frequency varies based on your engagement with our services. Typically, you may receive appointment reminders, follow-up messages related to your inquiry, and occasional service updates. We do not send daily promotional messages.

    9.6 Carrier Liability Disclaimer

    Carriers are not responsible for delays, delivery failures, or message content, and are not liable for any damages arising from text messaging services.

    9.7 SMS & MMS Usage Costs

    SMS and MMS messaging incurs per-message carrier costs charged by our underlying messaging provider. A messaging credit of $10.00 USD (or equivalent in CAD at the time of billing) is included as part of the one-time setup fee for each client campaign. This credit covers initial SMS and MMS sending costs during the early stages of the campaign.

    Once this credit is exhausted, any additional messaging costs will be billed separately to the Client, based on actual usage reported by the messaging platform. Overage charges will be billed to the card on file provided by the Client. MMS messages typically consume more credit than standard SMS due to higher carrier rates.

    10. Third-Party Services

    Beacon Flight utilizes various third-party services to deliver our services effectively. These may include:

    • Twilio, Bland.ai, Vapi.ai, Retell.ai, or similar providers: For SMS and voice communications
    • GoHighLevel, Lovable, or similar platforms: For CRM and marketing automation
    • Anthropic, OpenAI, or other AI providers: For AI conversation capabilities
    • Cal.com, Google Calendar, Outlook, or similar services: For calendar and scheduling integration
    • Supabase, Vercel, Netlify, or similar platforms: For hosting and data storage
    • Stripe or similar processors: For secure payment handling
    • Analytics providers: For tracking and reporting

    Your use of our services may be subject to the terms and privacy policies of these third-party providers. We are not responsible for the practices or content of third-party services.

    11. Disclaimers & Warranties

    Results Disclaimer: While Beacon Flight employs industry best practices and proven technologies, we cannot guarantee specific numbers of bookings, conversion rates, or business outcomes. The effectiveness of AI agents/assistants/bots/workflows depends on numerous factors including call volume, customer behavior, industry type, service offerings, pricing, and how actively the Client promotes the booking system to their customers.

    While our AI assistants/agents/bots/workflows are designed to capture and convert leads effectively, actual booking rates vary based on the Client's business model, customer base, and market conditions.

    We employ industry best practices and proprietary methodologies, but we cannot guarantee specific rankings, visibility, or business outcomes. SEO / GEO / AI search algorithms are controlled by third parties (OpenAI, Google, Microsoft, etc.) and are subject to change without notice. Results vary based on numerous factors including industry competition, existing brand authority, content quality, and algorithm updates.

    Service Warranty: We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. This warranty does not extend to results or outcomes.

    AS-IS DISCLAIMER: EXCEPT AS EXPRESSLY PROVIDED HEREIN, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

    12. Limitation of Liability

    THE PARTIES ACKNOWLEDGE THAT THE LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION ARE REASONABLE AND FORM AN ESSENTIAL BASIS OF THE AGREEMENT.

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEACON FLIGHT'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY THE CLIENT TO BEACON FLIGHT IN THE ONE (1) MONTH PRECEDING THE CLAIM, OR $500.00 CAD, WHICHEVER IS LESS.

    IN NO EVENT SHALL BEACON FLIGHT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR WHETHER BEACON FLIGHT WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

    WITHOUT LIMITING THE FOREGOING, IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR ANY OF THE FOLLOWING, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES: (a) punitive, exemplary, or consequential damages; (b) lost profits, lost revenue, or lost business opportunity; (c) loss of goodwill or reputational harm; (d) loss of data or information; (e) cost of substitute services; (f) damages arising from third-party service outages or actions, including but not limited to Twilio, GoHighLevel, OpenAI, Anthropic, Google, or Stripe; or (g) regulatory fines, penalties, or government actions. These exclusions apply regardless of whether the damages were foreseeable.

    13. Indemnification

    You agree to indemnify, defend, and hold harmless Beacon Flight, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of our services; (b) your breach of these Terms; (c) your violation of any applicable law or third-party rights; or (d) any content or materials you provide to us.

    14. Termination

    Either party may terminate the service agreement with 30 days’ written notice, subject to the Commitment Terms outlined in Section 5. Beacon Flight reserves the right to terminate services immediately for material breach, non-payment, or violation of these Terms.

    Upon termination: (a) all outstanding fees become immediately due; (b) Client's access to our platforms and tools will be revoked; (c) confidentiality obligations survive as specified herein; (d) Beacon Flight will provide reasonable assistance in transitioning deliverables to the Client.

    Cancellation During Commitment Period: Client may request cancellation at any time by providing written notice.

    For 3-month commitments: Cancellation during the initial 3-month period does not relieve the Client of payment obligations for that period. After the initial 3-month term, services may be cancelled on 30 days’ written notice.
    For 6-month commitments: Cancellation during the 6-month period does not relieve the Client of payment obligations for the full commitment term.

    15. Governing Law & Dispute Resolution

    These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law provisions.

    Any disputes arising from these Terms or our services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved in the courts of Ontario, Canada, or through binding arbitration in accordance with the Arbitration Act, 1991 (Ontario), with arbitration taking place in Ontario, Canada.

    16. Modifications to Terms

    Beacon Flight reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.

    18. CASL Compliance (Canada)

    Beacon Flight complies with Canada's Anti-Spam Legislation (CASL). By using our services, you acknowledge that:

    a) Express Consent: You provide express consent to receive commercial electronic messages (CEMs) from Beacon Flight related to your service, including appointment reminders, service updates, and support communications.

    b) Client's CASL Obligations: If you use our AI booking services to send messages to your customers, YOU are responsible for obtaining proper consent from your customers in accordance with CASL. Beacon Flight is not responsible for your compliance with CASL regarding messages sent to your customers through our platform.

    c) Unsubscribe: You may unsubscribe from our communications at any time by replying STOP to SMS messages or clicking unsubscribe in emails.

    d) Identification: All messages sent by Beacon Flight will clearly identify our business name and contact information.

    19. Privacy & Data Protection

    Beacon Flight complies with Canada's Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy laws.

    a) Data Collection: We collect only the minimum personal information necessary to provide our services, including contact information, calendar data, and communication records.

    b) Data Use: Personal information is used solely for service delivery, customer support, and service improvement. We do not sell personal data to third parties.

    c) Data Storage: Client data is stored securely using industry-standard encryption and security practices.

    d) Data Retention: We retain personal information only as long as necessary to fulfill service obligations and legal requirements.

    e) Your Rights: You have the right to access, correct, or delete your personal information. Contact us at info@beaconflight.com to exercise these rights.

    20. Service Availability & Uptime

    Beacon Flight strives to maintain high availability for our AI booking services. However, we do not guarantee uninterrupted service and are not liable for downtime caused by:

    • Third-party service outages (Twilio, OpenAI, Google, Stripe, etc.)
    • Internet or network disruptions
    • Scheduled maintenance (with advance notice when possible)
    • Force majeure events (natural disasters, pandemics, acts of war, etc.)
    • Client's own technical issues (website hosting, internet connectivity, etc.)

    In the event of extended service disruption exceeding 72 consecutive hours due to issues solely within Beacon Flight's control, Client may be eligible for a pro-rated credit. Client may be eligible for a pro-rated service credit, calculated based on the duration of the disruption, provided the disruption is solely within Beacon Flight’s control.

    21. Refund Policy

    All fees paid to Beacon Flight are non-refundable except in the following circumstances:

    a) Service Non-Delivery: If Beacon Flight fails to deliver agreed-upon services within 14 days of the agreed timeline without justifiable cause, Client may request a full refund of fees paid for that specific service.

    b) Technical Failure: If the AI booking system experiences complete failure for more than 7 consecutive days due to issues solely within Beacon Flight's control, and we are unable to resolve the issue, Client may request a pro-rated refund for that month.

    Non-Refundable Items: Refunds do not apply to:

    • Setup fees: All one-time setup fees are non-refundable once work has commenced
    • Commitment-based plans (3-month or 6-month) are non-refundable once the applicable commitment period has commenced.
    • Months where service was successfully provided
    • Cancellations due to Client's breach of Terms

    Refund Request Process: Refund requests must be submitted in writing to info@beaconflight.com and will be processed within 30 business days of approval.

    22. Acceptable Use Policy

    Client agrees not to use Beacon Flight services for:

    • Illegal activities or promotion of illegal goods/services
    • Harassment, spam, or unsolicited communications
    • Spreading misinformation, hate speech, or discriminatory content
    • Impersonating others or misrepresenting identity
    • Violating intellectual property rights of others
    • Bypassing or attempting to bypass security measures
    • Excessive or abusive use that degrades service for others
    • Collection of personal information without proper consent
    • Activities that violate CASL, PIPEDA, or other applicable laws

    Violation of this Acceptable Use Policy may result in immediate suspension or termination of services without refund.
